Terms and Conditions

These Terms and Conditions apply to all purchases, quotes, work orders, repairs, custom builds, and services provided by ATPRO Powerclean Equipment Inc. (operating as Power Equipment Online) ("ATPRO", "Power Equipment Online", "we", "us", "our") to you ("customer", "you", "your"). By placing an order, requesting service, accepting a quote, or using our website, you agree to these Terms and Conditions.

1) Our Business and What We Provide

  • Distribution: Sale and shipment of industrial equipment, parts, accessories, and related products.
  • Custom Manufacturing and Engineering: Design, fabrication, assembly, modification, and integration of equipment and systems.
  • Service: Diagnostics, repair, maintenance, installation support, and technical assistance.

2) Safety, Training, and Assumption of Risk

Many products we sell or build involve high pressure, heat, electricity, moving parts, fuels, chemicals, and other hazards that can cause severe injury, death, or property damage. You are responsible for safe handling, installation, operation, inspection, maintenance, and storage, and for ensuring operators are trained and follow all manuals, warnings, and applicable laws.

  • You must use appropriate personal protective equipment and follow all safety instructions supplied by manufacturers and by us.
  • You are responsible for verifying compatibility of parts, fittings, hoses, chemicals, fuels, voltage, and flow/pressure ratings before use.
  • Installation and commissioning should be performed by qualified technicians where required by law, code, or safety practice.
  • You accept all risks related to the use or misuse of high-pressure and industrial equipment.

3) Quotes, Orders, and Acceptance

Quotes are valid only for the period stated on the quote. If no period is stated, quotes may change without notice. Orders are not binding on us until accepted by us and, where applicable, payment is received or financing is approved.

We may refuse, cancel, or limit any order at any time, including due to inventory errors, pricing errors, fraud risk, export restrictions, shipping constraints, or safety concerns. If we cancel after payment, we will refund the amount paid for the cancelled items, subject to any non-refundable fees disclosed at purchase (for example, custom work already performed with your approval).

4) Pricing, Currency, and Errors

Prices, specifications, and availability may change at any time. Pricing may be displayed in CAD or USD depending on the store settings and your selections. Exchange rates, tariffs, freight, and supplier costs can change and may affect pricing.

If an item is listed with an incorrect price or incorrect information due to an error, we may correct the error and cancel the order or contact you for approval before shipping.

5) Shipping, Delivery, and Risk of Loss

We ship within Canada and to the continental United States, and we may ship to Alaska, Hawaii, and other international destinations by arrangement. Some items ship separately or may ship directly from a manufacturer or third-party facility.

  • Delivery timelines: Any delivery estimate is an estimate only and is not a guarantee.
  • Risk of loss: Title and risk of loss transfer to you when the shipment is tendered to the carrier, to the maximum extent permitted by law.
  • Address changes: Changes after shipment may incur an address-change fee plus any carrier or brokerage charges.

6) Cross-Border Shipping to the United States (Importer of Record, Duties, and Brokerage)

For shipments delivered into the United States, you are the Importer of Record unless we expressly agree in writing to ship Delivery Duties Paid (DDP). As Importer of Record, you are responsible for all import-related charges, including duties, taxes, customs fees, brokerage fees, and any carrier "advancement", "disbursement", or similar fees.

  • Default shipping basis: Unless stated otherwise in writing, shipments are sent on a duties and taxes unpaid basis (commonly called DDU or DAP).
  • No customs brokerage services: We are not acting as your customs broker and do not provide customs advice. You are responsible for compliance with all import requirements.
  • De minimis threshold: U.S. rules regarding duty-free thresholds can change, and they may be limited, suspended, or unavailable for some or all shipments. You should assume duties and import fees may apply to U.S. deliveries regardless of order value.
  • Refused or returned shipments: If you refuse delivery, fail to pay import charges, provide incomplete information, or your shipment is returned or abandoned, you are responsible for all related costs, including return freight, storage, brokerage, and any additional fees charged to us by carriers or authorities.

7) Inspection on Delivery and Freight Damage

Inspect shipments on delivery. If packaging shows damage, request the driver note "suspect freight damage" on the delivery receipt and take photos. If there is severe damage, refuse delivery and contact us immediately.

Freight claims may require documentation and cooperation. Failure to note damage on delivery or to keep packaging may limit or prevent a claim.

8) Returns, Refunds, and RGA Requirement

Returns are handled on an individual basis, and no return will be accepted without a Return Goods Authorization (RGA). Shipping costs are not refundable.

  • Return condition: Items must be returned prepaid, in original condition, with all parts, manuals, and packaging as required.
  • Unopened merchandise: May be returned within 30 days of delivery for a refund, subject to inspection and approval.
  • Opened merchandise: May be returned within 30 days of delivery. A restocking fee (for example, 25%) may apply to cover inspection, testing, and repackaging.
  • Special order items: Special order items are not returnable and not refundable.
  • Custom builds and custom work: Custom-built, modified, fabricated, engineered, or made-to-order items are not returnable and not refundable unless we agree in writing.
  • Engines and fuel/oil: Engines and equipment that have had gas or oil installed are not returnable due to shipping regulations and safety requirements.
  • Missing parts: Missing parts must be reported within 24 hours of delivery.

Refunds, if approved, are processed to the original payment method within a reasonable time after we receive and inspect the returned items. If outbound shipping was included or discounted, outbound shipping costs may be deducted from the refund.

9) Cancellations

  • Before shipment: You may request cancellation before your item ships. If the order has not started processing or custom work has not begun, we will refund the product price paid.
  • After shipment: Once an order has shipped, it cannot be cancelled. You may request an RGA under the Return Policy if eligible.
  • Direct-ship items: Some direct-ship items may take up to two business days to confirm shipment status.

10) Third-Party Manufacturer Warranties

Many products we sell are covered by a third-party manufacturer warranty. These warranties are provided by the manufacturer, not by ATPRO. We may help you with warranty contact details or documentation, but the manufacturer controls warranty decisions, coverage, and remedies.

Unless required by law, we do not provide any additional warranty beyond the manufacturer's written warranty for third-party products.

11) Custom Build and In-House Work Warranties

For custom fabrication, assembly, integration, or in-house work performed by us, warranty coverage (if any) is only as stated in writing on your quote, invoice, work order, or a separate warranty document. If no written custom-build warranty is provided, then no custom-build warranty is offered.

  • Any warranty may be void if the equipment is improperly installed, misused, operated outside rated limits, serviced by unqualified persons, or modified without our written approval.
  • Warranty claims may require inspection, photos, testing, and return of parts. We may require the equipment to be returned or made available for inspection.
  • Wear items, maintenance items, consumables, normal wear, and damage caused by external factors are not covered unless stated otherwise in writing.

12) Installation, Technical Advice, and Support

Any technical advice, recommendations, or support provided by us is general information based on the details you provide. You are responsible for verifying that the selected equipment and configuration is safe, code-compliant, and suitable for your application.

You are responsible for using qualified technicians for installation and service where appropriate. We are not responsible for work performed by third parties.

13) Limitation of Liability (Industrial Shield)

To the maximum extent permitted by applicable law, ATPRO and Power Equipment Online, and their owners, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of use, business interruption, downtime, or claims by third parties, arising from or related to products, services, custom builds, delays, or these Terms and Conditions, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total liability for any claim will not exceed the amount you paid to us for the specific product or service that gave rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

14) Indemnification (Industrial Shield)

You agree to defend, indemnify, and hold harmless ATPRO and Power Equipment Online, and their owners, officers, employees, contractors, and suppliers from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • improper installation, setup, wiring, plumbing, venting, or commissioning;
  • operation outside rated limits or contrary to manuals and warnings;
  • misuse, negligence, or failure to maintain or inspect equipment;
  • use of incompatible parts, fittings, hoses, chemicals, fuels, or fluids;
  • unauthorized modification, alteration, or repair;
  • your violation of laws, codes, or regulations, including import, export, workplace safety, and environmental rules;
  • injury to persons or damage to property caused by your use, operation, or control of equipment.

15) Governing Law, Venue, and CISG Exclusion

These Terms and Conditions and any dispute arising from them are governed by the laws of the Province of British Columbia and the laws of Canada applicable in British Columbia, without regard to conflict of laws rules.

You agree to the exclusive jurisdiction and venue of the courts located in British Columbia, Canada.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

16) Changes to These Terms

We may update these Terms and Conditions from time to time. The version posted on our website at the time of your order or service request will apply to that transaction, unless we agree otherwise in writing.
